END-USER LICENSE AGREEMENT FOR JIDE SOFTWARE, INC.'S STOCK ICONS

IMPORTANT - READ CAREFULLY: This JIDE Software, Inc. ("JIDE") End-User License Agreement ("EULA") is a legal agreement between you (an individual user or a company or an organization) and JIDE for the JIDE Stock Icons accompanying this EULA, which includes image files and "on-line" or electronic documentation ("LICENSED MATERIAL"). By installing, copying, or otherwise using the LICENSED MATERIAL, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install, use, distribute in any manner, or replicate in any manner, any part, file or portion of the LICENSED MATERIAL.

The LICENSED MATERIAL is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The LICENSED MATERIAL is licensed, not sold.

  1. RIGOROUS ENFORCEMENT OF INTELLECTUAL PROPERTY RIGHTS. If the licensed right of use for this LICENSED MATERIAL is purchased by you with any intent to resell, create derivative works, and the exploitation or unauthorized transfer of, any JIDE intellectual property and trade secrets, no licensed right of use shall exist, and any products created as a result shall be judged illegal by definition of all applicable law. Any sale or resale of intellectual property or created derivatives so obtained will be prosecuted to the fullest extent of all local, federal and international law.

  2. GRANT OF LICENSE. This EULA, if legally executed as defined herein, licenses and so grants you a royalty-free, non-exclusive, non-transferable license to use the icons unlimited times, in any projects such as program, applications, custom softwares, or websites, within a simple company or organization. You may alter, crop, change and create derivative works of the License Material.

  3. RESTRICTIONS.
    • You may not sublicense, sell, loan, rent, lease, assign, convey or transfer Licensed Material, this EULA or any of its rights under this EULA. You may not include the Licensed Material in an electronic template intended to be reproduced by third parties on electronic or printed products.
    • You may not sell, license or distribute any derivative work based on the Licensed Material.
    • The Licensed Material shall not be incorporated into a logo, trademark or service mark.
    • You may not post the Licensed Material online in a downloadable format.
  4. COPYRIGHT. All title and copyrights in and to the LICENSED MATERIAL, the accompanying printed materials, and any copies of the LICENSED MATERIAL are owned by JIDE or its subsidiaries. The LICENSED MATERIAL is protected by copyright laws and international treaty provisions. Therefore, you must treat the LICENSED MATERIAL like any other copyrighted material except that you may install the LICENSED MATERIAL for use by you. You may not copy any printed materials accompanying the LICENSED MATERIAL.

  6. NO WARRANTIES. JIDE EXPRESSLY DISCLAIMS ANY WARRANTY FOR THE LICENSED MATERIAL. THE LICENSED MATERIAL IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE PRODUCT REMAINS WITH YOU.

  7. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JIDE OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, ANY OTHER PECUNIARY LOSS, ATTORNEY FEES AND COURT COSTS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE LICENSED MATERIAL OR THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES, EVEN IF JIDE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
